TrinityRail to Acquire 32% Stake in New Indian Railcar Leasing JV

New Delhi, July 29 – TrinityRail Global Inc announced it will purchase a 32 percent equity interest in the newly formed TrinityRail Texmaco Railcar Leasing Private Ltd, a joint venture created with India’s Texmaco Rail & Engineering Ltd and the European‑based TOAX Group. The transaction will expand TrinityRail’s footprint in the world’s fastest‑growing freight‑rail market.

The venture, which will be headquartered in India, brings together Texmaco’s extensive wagon‑building facilities, TOAX’s established container‑leasing operations and TrinityRail’s expertise in rail‑leasing finance, risk assessment and lifecycle services.

Both TOAX and Texmaco will retain 34 percent stakes each, ensuring an even distribution of control among the three partners. The new entity plans to fund the construction of 100 new railway rakes within the next three to five years, delivering a full suite of services that include manufacturing, leasing, financing, engineering, maintenance and end‑of‑life management.

Fabriс Valeyski, CEO of TOAX, emphasized the strategic timing of the deal, noting that India’s freight rail share stands at roughly 28 percent and the government aims to lift it to 45 percent. He said TrinityRail’s capital and global leasing model will help accelerate that objective.

Patrick Hurst, Senior Vice‑President for Risk and Investment Portfolio at TrinityRail, praised India’s recent logistics reforms, especially the Dedicated Freight Corridor network, which separates cargo from passenger traffic. He added that the partnership aligns with the “Make in India” and “Build in India” policies, offering a platform for private investors to participate in a high‑growth sector.

Texmaco Chairman Saroj Kumar Poddar stated the joint venture will serve as a catalyst for modern rail mobility solutions, providing Indian shippers with reliable, cost‑effective freight options while fostering domestic manufacturing and technology transfer.
